Agreement to Terms
By accessing or using the Han Creative Studio website (hancreative.studio) or engaging our services, you agree to these Terms of Service. If you do not agree, please do not use our website or services.
About Han Creative Studio
Han Creative Studio is a Brooklyn-based creative agency providing branding, photography, video, digital design, web development, headless API integrations, and related creative and technical services.
Website Use
Our website is provided for informational purposes — to showcase our work, describe our services, and enable you to contact us. You may browse freely, but you may not:
- Reproduce, distribute, or create derivative works from our website content without written permission
- Use automated tools to scrape, crawl, or extract data from our website
- Attempt to interfere with the website's operation or security
Intellectual Property
All content on this website — including but not limited to text, images, photography, video, logos, graphics, and design — is the property of Han Creative Studio or our clients (used with permission) and is protected by copyright and intellectual property laws.
Portfolio & showcase rights: Han Creative Studio retains the right to display and reference client work in our portfolio, case studies, and marketing materials unless otherwise agreed in writing.
Scope of Services
When you engage Han Creative Studio for a project, the specific scope, deliverables, timeline, and fees are defined in a separate project agreement or statement of work. These Terms of Service apply generally to all engagements unless a signed project agreement states otherwise.
API Integrations & Technical Services
Han Creative Studio builds headless API connections, custom integrations, and technical solutions for clients. Regarding these services:
- Delivery: Technical deliverables are provided “as-is” upon completion and acceptance. We will make reasonable efforts to ensure quality, but we do not guarantee uninterrupted operation or error-free performance.
- Uptime & availability: Unless a separate Service Level Agreement (SLA) is in place, we make no guarantees regarding uptime, availability, or response times for deployed integrations.
- Third-party dependencies: Integrations often rely on third-party APIs and platforms. We are not responsible for changes, outages, or deprecations by third-party providers.
- Maintenance: Ongoing maintenance and support, if required, will be defined in a separate agreement.
Intellectual Property Ownership
Unless otherwise specified in a project agreement:
- Custom work product (designs, assets, project-specific code) transfers to the client upon full payment.
- Han Creative Studio retains ownership of reusable code, libraries, templates, frameworks, tools, and methodologies developed independently or prior to the engagement.
- Han Creative Studio retains the right to use general knowledge, techniques, and skills gained during any engagement.
Client Portal
Our client portal is powered by Moxie (withmoxie.com). Use of the portal is subject to Moxie's Terms of Service. Han Creative Studio is not liable for Moxie platform availability, downtime, or data handling beyond our control. You are responsible for maintaining the confidentiality of your portal credentials.
Warranties & Disclaimers
We strive to deliver high-quality work on every engagement. However:
- We do not guarantee specific business outcomes, results, or return on investment from our services.
- Our website and portfolio are provided for reference and inspiration. Past results do not guarantee future performance.
- To the fullest extent permitted by law, we disclaim all implied warranties, including warranties of merchantability and fitness for a particular purpose.
Limitation of Liability
To the maximum extent permitted by law, Han Creative Studio's total liability for any claim arising from our services or this website shall not exceed the fees paid to us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost data.
Indemnification
You agree to indemnify and hold Han Creative Studio harmless from claims, losses, or damages arising from your use of our website, your use of deliverables we provide, or your violation of these terms. We will similarly indemnify you against claims arising from our breach of these terms or infringement of third-party intellectual property in our deliverables.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during an engagement. This includes business strategies, technical specifications, unpublished work, and financial details. This obligation survives the end of any engagement.
Termination
Either party may terminate a service engagement as outlined in the applicable project agreement. We reserve the right to suspend or terminate access to our website or client portal for violation of these terms. Upon termination, provisions regarding intellectual property, limitation of liability, indemnification, and confidentiality survive.
Third-Party Links
Our website may contain links to third-party websites or services. We are not responsible for the content, accuracy, or practices of those sites.
Governing Law
These terms are governed by the laws of the State of New York. Any disputes shall be resolved in the courts of New York County, New York.
Changes to These Terms
